Terms of Service

Welcome to Dream Cloud. These Terms of Service ("Terms") govern your access to and use of the Dream Cloud platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Please read these Terms carefully before using the Service. These Terms constitute a legally binding agreement between you and Dream Cloud.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Service under any circumstances.

2. Description of Service

Dream Cloud is a platform that enables users to create, share, and fund creative projects, campaigns, and content. The Service allows creators to receive financial contributions from supporters, and allows supporters to contribute to projects and creators they believe in.

Dream Cloud acts solely as an intermediary platform connecting creators and supporters. We do not guarantee the success, completion, or quality of any project or campaign. We are not responsible for the actions, content, or conduct of any user.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify Dream Cloud of any unauthorized use of your account or any other breach of security. Dream Cloud will not be liable for any loss or damage arising from your failure to protect your account credentials.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or conduct that we determine to be harmful to other users or the Service.

4. User Content and Conduct

You are solely responsible for all content you post, upload, or otherwise make available through the Service ("User Content"). By posting User Content, you represent and warrant that you have all necessary rights to post such content and that it does not violate any third-party rights or applicable laws.

You agree not to post User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

  • Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights

  • Contains viruses, malware, or other harmful code

  • Impersonates any person or entity or misrepresents your affiliation

  • Contains false, misleading, or fraudulent information

  • Violates the privacy or publicity rights of others

  • Promotes illegal activities or violence

  • Contains spam, advertising, or solicitations without authorization

Dream Cloud reserves the right to remove any User Content at any time, without notice, for any reason. We are not obligated to monitor User Content but may do so at our discretion.

5. Payments, Fees, and Transactions

All payments on Dream Cloud are processed through Stripe, our third-party payment processor. By making a payment, you agree to Stripe's terms of service and privacy policy. Dream Cloud does not store your complete credit card information.

Dream Cloud charges a platform fee on successful transactions. The applicable fee percentage is disclosed before you complete any transaction. Fees may vary based on transaction type and are subject to change with notice.

Creators are responsible for all applicable taxes on funds received through the Service. Dream Cloud may be required to report certain payments to tax authorities and may request tax documentation from users.

6. Refund Policy - NO REFUNDS

ALL CONTRIBUTIONS, DONATIONS, AND PAYMENTS MADE THROUGH DREAM CLOUD ARE FINAL AND NON-REFUNDABLE.

By making a contribution or donation on the platform, you acknowledge and agree that:

  • All transactions are final upon completion

  • No refunds will be issued under any circumstances, including but not limited to project non-completion, dissatisfaction with results, or change of mind

  • Contributions are made at your own risk

  • Dream Cloud does not guarantee the delivery, completion, or quality of any project or reward

  • You have no recourse against Dream Cloud for funds contributed to creators

In the rare event that Dream Cloud, at its sole discretion, determines that a refund is warranted due to platform error or fraudulent activity, any refund will be processed through the original payment method and may take up to 30 business days.

Chargebacks initiated through your bank or credit card company are a violation of these Terms and may result in immediate account termination and potential legal action to recover funds and associated fees.

7. Subscription and Recurring Payments

Some features of the Service may require a subscription or involve recurring payments. By subscribing, you authorize Dream Cloud to charge your payment method on a recurring basis until you cancel.

You may cancel a subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. No partial refunds will be issued for unused portions of a subscription period.

We reserve the right to change subscription pricing with 30 days notice. Continued use after a price change constitutes acceptance of the new pricing.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Dream Cloud and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of User Content you post to the Service. However, by posting User Content, you grant Dream Cloud a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and Dream Cloud's business.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Dream Cloud does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

Dream Cloud makes no warranties or representations about the accuracy, reliability, completeness, or timeliness of any content posted on the Service, including User Content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DREAM CLOUD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service

  • Any conduct or content of any third party on the Service

  • Any content obtained from the Service

  • Unauthorized access, use, or alteration of your transmissions or content

  • Any transactions or relationships between you and any creator or supporter

  • The failure of any project or campaign to meet expectations

IN NO EVENT SHALL DREAM CLOUD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO DREAM CLOUD IN THE PAST TWELVE MONTHS.

11. Indemnification

You agree to defend, indemnify, and hold harmless Dream Cloud and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another.

12. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language and the arbitral decision may be enforced in any court of competent jurisdiction.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration against Dream Cloud.

Notwithstanding the foregoing, Dream Cloud may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware.

14. Modifications to Terms

Dream Cloud reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must stop using the Service.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by Dream Cloud on the Service, constitute the entire agreement between you and Dream Cloud concerning the Service and supersede all prior agreements and understandings.
